For more than 30 years now, I have actively practiced law in mid-sized firms, with a focus on general business law transactions, securities offerings, securities transactions, mergers and acquisitions, and SEC compliance. In my own private practice, I now focus on providing expansive knowledge and sophisticated business acumen to my clients through customized solutions, helping them navigate their way to the most relevant legal strategy for their business.

My background as Senior Attorney, U.S. Securities and Exchange Commission, Division of Corporation Finance, Washington D.C. gives me a deep understanding of the complexities of business law. During this tenure, I acted as Senior Attorney in the office reviewing all corporate tender offers and beneficial ownership filings made with the SEC, issuing interpretations regarding compliance with the tender offer and beneficial ownership rules and regulations, and reviewing all Regulation A offerings filed with the SEC for compliance and interpretations of Regulation A.

In 1974, I was appointed Associate Counsel for the SEC’s Public Hearings in the Matters of Beneficial Ownership, Takeovers and Acquisitions by Foreign and Domestic Persons. Next, I was designated to author the SEC’s written interpretations on Tender Offer transactions, and to co-author the SEC’s rules governing Going Private transactions and amendments to the rules adopted under Section 13(d) of the Securities Exchange Act of 1934 regarding beneficial ownership matters.

During my extensive career, I was Co-Founder, Partner and Head of Corporate Securities at Siegan, Barbakoff, Gomberg and Kane (SBGK), an innovative business transaction-focused Chicago law firm, providing sophisticated legal services to entrepreneurs, start-ups, and small- and mid-sized privately and publicly owned businesses. After SBGK, I was a Partner at Sachnoff and Weaver (now Reed Smith) and later a Partner and Senior Partner of Corporate Securities at Arnstein & Lehr (now Saul Ewing Arnstein & Lehr). In 2015, I launched the office of Jerold N. Siegan Law in Chicago.
